Terms & Conditions

Effective Date: December 5, 2025

These Terms & Conditions (“Terms”) form a legally binding agreement between you (“User,” “you,” or “your”) and Borderless Solutions Limited, a Delaware C‑Corporation with its registered office at 1111B S Governors Avenue, Ste 28357, Dover, DE 19904 USA (“Borderless,” “we,” “our,” or “us”), operating the WanderWallet service (“WanderWallet” or the “Service”). By creating or using a WanderWallet, you accept these Terms. If you disagree, do not use the Service.

1 · Eligibility

1.1 Age Requirements

You must be at least 18 years old and legally able to enter into contracts.

1.2 Identity Verification

You must complete identity verification through our approved providers and submit any additional information required to comply with anti-money-laundering or sanctions laws.

1.3 Geographic Restrictions

You may not use the Service if you are located in, or a citizen or resident of, any jurisdiction under comprehensive US sanctions or included on a sanctions list.

2 · Nature of the Service

2.1 Self-Custodial Wallets

WanderWallet provides a user-controlled wallet secured by Circle’s MPC technology. Borderless never holds, controls, or can access your private keys or funds.

2.2 Supported Asset & Network

Only USD Coin (USDC) on the Polygon blockchain is supported (Token address: 0x3c499c542cEF5E3811e1192ce70d8cC03d5c3359). Sending any other token or USDC on a different chain to your WanderWallet may result in permanent loss.

2.3 Payments to LATAM Merchants

WanderWallet allows users to pay supported merchants in Brazil (BRL) and Argentina (ARS) using local payment methods such as PIX or QR-based payments.

You authorize an on-chain transfer of USDC to a licensed third-party payment processor that converts and settles the amount with the merchant in local currency.

WanderWallet does not handle or transmit fiat funds.

2.4 Peer-to-Peer Transfers

Users may transfer USDC to other compatible crypto wallets.

2.5 On-/Off-Ramps

Fiat on-ramps and off-ramps are provided solely by third-party providers. Their approval criteria and terms apply. WanderWallet does not exchange, custody, or transmit fiat.

2.6 Geographic Availability & Supported Countries

Merchant payments are currently supported only in Brazil and Argentina. Supported countries and payment methods may change at any time.

2.7 Technical Facilitation Only

WanderWallet provides a technical interface that allows you to initiate self-directed blockchain transactions. Borderless does not control user funds and does not execute transactions on your behalf.

3 · Fees

3.1 Current Fee Structure

WanderWallet charges fees for certain transactions, including currency conversion and network costs.

Current fees include:

  • Conversion Fee: 1% of the local-currency equivalent.
  • Fixed Network Fee: US $0.20 per transaction.

We may introduce additional fees or adjust existing ones at any time.

3.2 Fee Transparency

All applicable fees are displayed in the App before you authorize a transaction. By confirming a transaction, you agree to the fees shown at that moment.

Fees do not apply retroactively to past transactions.

4 · Limits

4.1 Transaction Limits

Your use of the Service is subject to per-transaction limits, including maximum payment amounts. These limits may vary by country, payment method, verification level, or third-party provider requirements.

4.2 Additional Limits

We may introduce or adjust limits at any time for operational, regulatory, or risk-management reasons.

5 · Finality, Errors & Refunds

5.1 Blockchain Finality

All on-chain transactions are irreversible. If you lose credentials or send funds to an incorrect address, Borderless cannot recover them.

5.2 ReRefund Mechanism

  • Payment Failure — If a merchant transaction fails after USDC leaves your wallet, a smart-contract claim (“ReRefund”) for the full amount is created automatically.
  • Merchant Refund — If a merchant issues a full or partial refund, you receive USDC equal to the refunded local-currency amount converted at the prevailing rate.
  • Claiming — You must claim ReRefunds manually; funds remain in the contract until claimed and are never redistributed.

5.3 No Other Refunds

All payments are final. Borderless does not mediate disputes between users and merchants.

6 · User Responsibilities

6.1 Security & Transaction Verification

  • Secure your device, PIN, and recovery answers.
  • Review transaction details before authorizing.

6.2 Compliance

  • Comply with applicable laws, including tax reporting.
  • Refrain from prohibited conduct such as fraud, money laundering, or IP infringement.

7 · Taxes

You are solely responsible for determining, reporting, and paying any taxes arising from your use of the Service. Borderless does not provide tax advice.

8 · Third-Party Services & Regulatory Status

8.1 Third-Party Services

WanderWallet relies on third-party providers, including payment processors, on-ramps, and identity verification services. Each operates under its own terms and regulatory obligations. Borderless is not responsible for their actions or omissions.

8.2 Non-Custodial & Non-MSB

Borderless is not a bank, money-services business, or money-transmitter because users transact directly on public blockchains and Borderless never takes custody of funds. Local-currency settlement is executed by licensed third-party processors.

8.3 Noah On-Ramp Provider

  • WanderWallet includes an optional banking on-ramp operated by Noah US, Inc. (“Noah”).
  • When this feature is used, you complete onboarding and KYC directly with Noah in a secure webview.
  • Noah US, Inc. acts as the merchant of record and is solely responsible for licensing, compliance, KYC/AML screening, sanctions checks, and transaction monitoring related to that service.
  • WanderWallet does not exchange or custody funds and is not a money transmitter.
  • Use of the on-ramp is governed by Noah’s own terms and policies presented during onboarding.

9 · Suspension & Termination

Borderless may suspend or terminate your access immediately if required by law, if we suspect fraud or sanctions risk, or if you breach these Terms. Upon termination you may transfer any remaining USDC but cannot initiate new merchant payments.

10 · Intellectual Property & License

All rights in the WanderWallet software, website, documentation, trademarks, and other content are owned by Borderless or its licensors. Borderless grants you a limited, non-exclusive, revocable, non-transferable licence to use the Service for its intended purpose. You may not copy, modify, distribute, reverse-engineer, or create derivative works of the Service.

11 · Disclaimers

11.1 Service Disclaimers

  • As-Is. The Service is provided “as is” and “as available” without warranties of any kind.
  • Blockchain Risk. Public blockchains and smart contracts may contain vulnerabilities or experience forks, congestion, or failures; Borderless is not responsible.

11.2 Financial Disclaimers

  • No Custody; No FDIC Insurance. Borderless does not hold deposits; funds are not insured by the FDIC or any government agency.
  • No Investment Advice. The Service is a payments tool, not an investment platform.

12 · Force Majeure

Borderless is not liable for delay or failure to perform caused by events beyond our reasonable control, including acts of God, war, labour disputes, Internet outages, blockchain failures, or third-party attacks.

13 · Limitation of Liability

To the maximum extent permitted by law, Borderless and its affiliates are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Aggregate liability will not exceed the greater of (i) US $100 or (ii) the total fees you paid to Borderless in the 12 months preceding the claim.

14 · Indemnification

You agree to indemnify and hold harmless Borderless and its affiliates from any claim, damage, loss, or expense (including attorneys’ fees) arising out of your use of the Service, breach of these Terms, or violation of any law or regulation.

15 · Governing Law & Venue

These Terms are governed by Delaware law. You consent to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute.

16 · Changes to Terms

Borderless may modify these Terms at any time by posting an updated version on wanderwallet.io and revising the effective date. Continued use after changes take effect constitutes acceptance.

17 · Survival

Sections concerning refunds, responsibilities, taxes, disclaimers, limitation of liability, indemnification, governing law, and termination survive termination of your account.

Official notices must be sent to support@wanderwallet.io or mailed to Borderless Solutions Limited, 1111B S Governors Avenue, Ste 28357, Dover, DE 19904 USA.

19 · Miscellaneous

19.1 Legal Provisions

  • Entire Agreement. These Terms constitute the entire agreement between you and Borderless regarding the Service.
  • Assignment. You may not assign your rights; Borderless may assign its rights and obligations.
  • Severability. If any provision is held invalid, the remaining provisions remain in effect.
  • No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
